Capital Growth

Capital & growth leadership · Candidate brief
Astral Energy Drink / VP of Finance · Capital & Business Development

Capital strategy.
National ambition.

Lead fundraising. Build investor confidence. Open the partnerships that take Astral nationwide.

$5MInitial raise target
10 flavorsProjected assortment
10,000Initial active-store target
01

Your mandate: capital, relationships, growth

Partner directly with the founder and VP of Distribution & Sales to secure the initial $5M raise, build long-term investor relationships and unlock strategic business development. The launch plan expands Astral from four to ten flavors and targets 10,000 active stores within approximately 12 months of funding.

Business fundraising

Source qualified investors, run the fundraising process, negotiate terms and secure capital for each expansion stage.

Investor relations

Own the investment narrative, maintain a disciplined investor pipeline and deliver clear monthly updates and quarterly investor reviews.

Business development

Open strategic investor, distributor and retail relationships; help Sales secure regional agreements, refrigerator placements and national partnerships.

Astral’s VP of Distribution & Sales brings nationwide relationships and active industry contracts. Convert this access into Astral-specific agreements and measurable launches. Accounting, bookkeeping, tax and monthly closes sit with the controller or external accounting provider; this executive uses their reporting to build investor confidence and finance growth.

02

Better placement. Stronger store economics.

Management reports 12+ cans per flavor per week in refrigerators, versus 2–3 on shelves. Our expansion model uses 12 refrigerated and 2.5 shelf cans per SKU weekly. These are management-reported observations, not independently verified cohort results.

Refrigerated placement120 cans / week

10 stocked flavors × 12 cans per flavor

Shelf placement25 cans / week

10 stocked flavors × 2.5 cans per flavor

Growing to ten flavors should increase visibility, choice and opportunities for repeat purchase. We expect sales per store to rise as the assortment and refrigerated footprint expand. The forecast builds that growth through a rising refrigerator share, without adding a separate increase in sales per flavor.

Year Average active stores Cans / store / week Full-year net revenue Year-end net run rate
2027 3,750 53.5 $15.25M $40.67M
2028 15,000 63 $71.83M $95.77M
2029 27,500 72.5 $151.55M $192.88M
2030 42,500 82 $264.90M $311.65M
2031 55,000 86.75 $362.67M $395.64M

Placement percentages are proposed shares of active stores, not measured current placement or shares of sales. At the Year 1 mix of 30% refrigerator / 70% shelf, refrigerated stores generate approximately 67% of modeled volume. Count each store once; stores with both placements enter the refrigerated cohort without adding shelf sales again.

Model assumptions, rollout and sensitivity

Annual net revenue = average active stores × 10 stocked flavors × weighted weekly SKU velocity × 52 × ($19.49 ÷ 12) × 90%. The 10% deduction is a provisional allowance for discounts, returns and trade spend. Retail sell-through is assumed to convert into equivalent replenishment shipments; opening orders, distributor inventory changes and actual revenue recognition can create timing differences. This is company revenue at the modeled invoice price, not consumer retail sales or profit.

Year 1 uses quarterly average active stores of 500, 2,000, 4,500 and 8,000, reaching 10,000 by year-end. Later years use the midpoint of opening and closing stores. The stated placement mix is applied to both annual average stores and year-end stores as a simplifying assumption. Year-end run rate assumes the closing footprint operates for a full 52 weeks; it is not that year’s earned revenue.

The model assumes all ten flavors are stocked and replenished in every modeled store from launch, with new flavors matching the stated placement velocities. Eight stocked flavors instead of ten reduces modeled sales and revenue-based valuations by 20%. Shelf velocity of 2–3 instead of 2.5 produces Year 1 net revenue of $14.25M–$16.25M. Stronger individual-store results, including occasional 30+ cans per SKU, are excluded.

These are an ambitious operating scenario, not booked sales. Retailer authorizations, cooler access, launch timing, assortment limits, stockouts, cannibalization, replenishment and trade terms must be verified by cohort. Active means stocked with recent sales evidence; authorized locations are tracked separately. If funding closes later, shift the timetable accordingly.

Capital follows proven expansion

Stage Raise target Pre-money target Deployment objective
Seed expansion $5M $25M 10 flavors; toward 10,000 stores in Year 1
Series A $10M $60M Toward 20,000 stores; regional sales coverage and more cold placements
Series B $25M $150M Toward 35,000–50,000 stores; distribution coverage toward 45 states in Years 3–4
Series C $40M $300M Toward 60,000 stores; deeper national coverage and operating leverage

These are proposed financing targets, not secured capital or appraisals. Raise timing follows repeat orders, verified net revenue, contribution margin and the next wave of funded openings. Use approximately $24M / $60M / $120M of trailing annual net revenue as initial evidence thresholds for the Series A / B / C valuation discussions: each pre-money target equates to 2.5× that revenue, assuming no material net debt. Earlier financing would need investors to accept forward performance.

Initial $5M use of funds
Inventory & working capital $2,250,000
Retail activation, sales & marketing $1,950,000 ($1.95M)
Infrastructure & specialist support $400,000
Transaction costs $250,000
Contingency $150,000
Total $5,000,000

The $1.95M is a combined commercial budget covering account activation, field sales, merchandising and demand generation, deployed against launch milestones. It is not a per-store amount. Transaction costs include the proposed $150,000 raise fee. Operations and the accounting provider must re-cost ten-flavor development, production minimums and replenishment before commitments.

Funding the full footprint: at 10,000 stores and the 30% refrigerated mix, eight weeks of inventory at an assumed $0.80 landed cost plus 45 days of net receivables requires approximately $8.44M before supplier credit. The initial $5M finances launch and staged growth; full scale also requires collections, supplier terms and additional working-capital facilities or equity. Facility debt must be reflected in equity valuations below.

What the comparables actually support

Alani Nu · transaction benchmark~2.77× net revenue

Celsius announced a $1.8B acquisition in February 2025, or $1.65B after $150M of tax benefits, against $595M of 2024 revenue. That is ~3.03× headline or ~2.77× tax-adjusted revenue. This is a scaled strategic acquisition benchmark, not an Astral appraisal. Celsius announcement ↗

Bloom · distribution benchmark1,900 → 51,000+ doors

Bloom reported this energy-drink expansion in under a year and more than 35M cans sold in its first year in July 2025. National distribution can accelerate with brand demand and an established partner. Astral’s five-year route to 60,000 stores is a management target, not a replica of Bloom’s outcome. Bloom announcement ↗

Bloom financing and limits of comparison

Nutrabolt’s January 2024 announcement describes an approximately 20% stake alongside a larger $90M financing with other investors. It does not disclose the exact amount paid for that stake, so dividing $90M by 20% would not establish a defensible Bloom valuation. Its September 2025 follow-on announcement also omits a valuation. Bloom is used here as a capital-and-distribution example, not a valuation multiple. 2024 financing · 2025 investment.

Neither comparable validates Astral’s SKU velocity, store authorizations, margins or valuation. Retail doors are not the same as active, fully stocked ten-flavor stores. Alani Nu had scale, brand equity and buyer-specific synergies; Bloom had an established audience and distribution support. A lower planning multiple alone does not remove those differences.

Five-year company valuation scenarios

Apply an illustrative 1.5×–2.5× multiple to each year’s modeled net revenue, with 2.0× as the central planning case. This selected range sits below Alani Nu’s ~2.77× tax-adjusted acquisition ratio; it is a scenario assumption, not an observed early-stage market range.

Year Low · 1.5× Central · 2.0× High · 2.5×
2027 $22.87M $30.50M $38.12M
2028 $107.75M $143.66M $179.58M
2029 $227.32M $303.09M $378.87M
2030 $397.35M $529.80M $662.25M
2031 $544.00M $725.33M $906.67M

Figures are enterprise-value scenarios, not financing pre-money values. Equity value = enterprise value + excess cash − debt and other senior claims. The candidate illustration assumes zero net debt and no other senior claims at Year 5. The $25M Seed ask is a negotiated planning anchor, not a value demonstrated by current revenue. Growth, margins, repeat demand, capital requirements and market conditions must support any actual valuation.

04

Investor meetings from week one

Investor outreach, partner development and preparation of supporting materials run in parallel. The first meetings should begin in week one, with 5–8 qualified investor meetings completed by day 14 as the initial execution target.

Days 1–3

Get investor-ready

Agree the mandate and compliant outreach process, approve the pitch and core financials, and prioritize 25 qualified investors. Begin warm introductions immediately.

Weeks 1–2

Start the conversations

Hold the first investor meetings; target 5–8 by day 14. Own the investor data room and ten-flavor growth narrative. Coordinate financial evidence from the accounting provider while advancing strategic partner introductions.

Weeks 3–4

Build financing momentum

Target 15–20 completed first meetings cumulatively and 5 substantive follow-ups. Resolve objections, identify potential lead investors and keep every next step dated.

Days 31–90

Convert interest into capital

Advance diligence and negotiate terms; target a lead term sheet in days 30–60 and an initial close within 90 days. Coordinate commitments, legal work and staged funding.

These are execution targets, not guaranteed investor commitments. Track qualified meetings, follow-ups, diligence, written terms and cash received weekly. Respond to investor requests within two business days.

After closing: lead investor relations and the next capital raise; maintain monthly investor updates and quarterly reviews; build strategic retail and distribution partnerships with the VP of Distribution & Sales. Target two qualified strategic partner meetings per month and a jointly approved quarterly activation pipeline. Accounting and Operations supply verified financial and operating reports.

$100K

Long-term equity

Proposed award with a $100,000 reference value. A fixed unit count is agreed using the approved valuation and fully diluted capitalization.

50%Month 1250%Month 24

Two-year vesting: half at each anniversary of the grant, subject to continued engagement and definitive terms.

3%

Capital-raising fee

3% of eligible capital actually received under an approved, legally permissible engagement. A $5M eligible raise produces a $150,000 fee. No upfront cash retainer proposed.

$200K

Annual executive salary

Base salary for the ongoing fundraising, investor relations and business development role once the proposed revenue, follow-on capital and affordability milestones below are met.

Proposed salary activation · all conditions required

Revenue traction + follow-on funding

01 / Revenue$500K per month

At least $500,000 of recognized net revenue in each of three consecutive months—a $6M annualized pace. Measured after discounts, returns and trade deductions; excludes POs, pipeline and financing proceeds.

02 / Follow-on capitalAdditional $5M closed

After the initial $5M raise, at least another $5M in new primary equity cash has been received. The follow-on pre-money valuation must exceed the initial round’s post-money valuation; under this plan, above $30M.

Affordability and role: the approved cash plan supports at least 18 months of runway after including salary, payroll costs and planned expansion. The executive owns the continuing capital pipeline, delivers monthly investor updates and quarterly reviews, and maintains at least two qualified strategic partner meetings per month with documented next steps. The board agrees quarterly business-development milestones with the executive and Sales leadership; the accounting provider owns the books and close. Financing terms must be acceptable to the board.

The board confirms all conditions and the prospective salary start date in writing. Until then, the initial engagement governs scope and compensation. This is a proposed trigger for agreement, not an automatic payment obligation.

Equity and fundraising fee terms

The package is subject to definitive agreements. The equity reference value is not guaranteed cash and ownership is diluted by future issuance. Eligible investors, fee attribution and payment timing must be agreed before solicitation; later rounds require a renewed mandate. Counsel must review the fundraising duties, 3% fee and funding-linked salary condition before implementation. A registered broker-dealer must be used where required; its fee is not automatically the executive’s personal compensation. SEC guidance.

06

Your equity participates in the growth you build

The proposed $100,000 equity award pairs near-term fundraising compensation with ownership in Astral’s long-term expansion. 50% vests after 12 months and 50% after 24 months, subject to continued engagement and definitive terms.

Grant reference value$100,000
After four modeled raises0.2161%
Year 5 central paper value$1.57M
What the award could be worth in October 2031Fully vested · after modeled financing dilution · assumes zero net debt and no other senior claims
Low valuation case$544.00M company equity value · 1.5× net revenue$1.18M
Central planning case$725.33M company equity value · 2.0× net revenue$1.57M
High valuation case$906.67M company equity value · 2.5× net revenue$1.96M
$0$1.96M

The central scenario is approximately 15.7× the initial reference value after modeled dilution. This is paper ownership value, not a promised return, salary or cash payout. All three cases assume the ambitious store and sales plan succeeds; they vary the valuation multiple, not operating performance.

Ownership calculation and downside

A $100,000 full-value award at a $25M fully diluted, post-grant company equity value implies 0.4% immediately before Seed. Multiplying by 25/30, 60/70, 150/175 and 300/340 for the modeled Seed, A, B and C raises leaves approximately 0.2161%. All four raises are assumed closed before October 31, 2031. The grant is initially unvested; half vests at each of the first two anniversaries.

Year-five value equals this diluted ownership × (modeled enterprise value + excess cash − debt and senior claims), assuming zero net debt and no other senior claims. At a flat $25M company equity value after those raises, the award would be worth approximately $54,022; at a failed business it could be worth zero. The favorable cases are not a complete range of possible outcomes.

These illustrations exclude extra option-pool increases, further grants, SAFE or note conversions, additional rounds, liquidation preferences, taxes and exercise costs. Actual common-equity value can be lower than a headline financing valuation. Options and profits interests require a separate model. Private equity is illiquid; a sale may not be available.
